GAMMAGLOW MARKETING SYSTEMS TERMS OF SERVICE

1. ACCEPTANCE OF TERMS By accessing the website at www.gammaglowms.com, purchasing our products, or utilizing our automated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our Services. These Terms constitute a legally binding agreement between you and GammaGlow Marketing Systems LLC ("GammaGlow," "we," "us," or "our").
2. DESCRIPTION OF SERVICES & INTELLECTUAL PROPERTY GammaGlow provides custom digital infrastructure, including but not limited to Digital Storefronts (Websites), 5-Star Review Automation Assets, and Voice AI Integrations.
Asset Ownership: Upon full payment of the initial setup fee, clients retain ownership of their front-end website content, logos, customer data, and domain names.
System Licensing: The proprietary AI prompts, n8n automation workflows, and backend Supabase architectures ("The Engine") remain the exclusive intellectual property of GammaGlow. Clients are granted a limited, non-exclusive license to utilize these backend systems for as long as their monthly maintenance/management subscription remains active.
3. BILLING, FEES, AND CANCELLATION
No Long-Term Contracts: GammaGlow operates on a month-to-month subscription basis following the initial setup fee. You may cancel your service at any time.
Payment Terms: Setup fees are due upon project initialization. Monthly maintenance fees will be billed automatically to the payment method on file every 30 days.
Termination: To cancel, you must provide written notice to support@gammaglowms.com at least 3 business days prior to your next billing cycle. Upon cancellation, your access to GammaGlow’s proprietary automation, Dashboards, and AI systems will be securely deactivated. We reserve the right to suspend services for non-payment
Billing Policy: All subscriptions include a one-time, non-refundable configuration fee. This fee covers the custom engineering, API integration, and proprietary AI training required for your system. By completing your purchase, you agree to the GammaGlow Terms of Service and Refund Policy.
By providing your phone number, you agree to receive text messages from GammaGlow Marketing Systems. Message and data rates may apply. Message frequency varies. Reply STOP to opt-out, HELP for help.
4. SMS / TEXT MESSAGING COMPLIANCE (TCPA & A2P 10DLC) By utilizing GammaGlow's communication systems (including Missed-Call Text-Back, Review Requests, and AI SMS Booking), you agree to strictly adhere to the Telephone Consumer Protection Act (TCPA) and all Carrier/CTIA guidelines.
Consent: You explicitly agree that you will only use our system to send SMS/MMS messages to individuals who have provided you with express, documented consent (opt-in) to receive such communications.
Message Frequency: Message frequency will vary based on user interaction and the specific automation campaigns you authorize.
Opt-Out (STOP): Message recipients can opt-out of communications at any time by replying "STOP" to any message. GammaGlow’s systems will automatically process this request. Following a "STOP" request, one final confirmation message will be sent, and no further messages will be delivered to that number.
Help: Recipients may reply "HELP" for customer care contact information.
Carrier Disclaimer: Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages.
5. BRING YOUR OWN KEY (BYOK) & THIRD-PARTY APIS Certain GammaGlow integrations (such as advanced Voice AI or specific CRM connections) may require you to provide your own API keys for third-party services (e.g., OpenAI, Anthropic, Twilio, ServiceTitan, or Jobber).
Billing Responsibility: You are solely responsible for managing the billing, usage limits, and account standing of any third-party API keys you integrate into the GammaGlow system.
Account Suspension: GammaGlow is not responsible for system outages caused by exhausted API credits, rate limits, or account suspensions enforced by third-party providers.
6. ARTIFICIAL INTELLIGENCE (AI) DISCLAIMER Our automated systems utilize advanced Artificial Intelligence models to communicate with your prospects and customers.
Unpredictability: While our AI prompts are heavily restricted and tested, AI models generate dynamic responses and may occasionally produce inaccurate, unexpected, or "hallucinated" information.
Client Monitoring: You acknowledge that it is your responsibility to periodically monitor AI conversations within your dashboard. GammaGlow is not liable for lost revenue, reputational damage, or misquoted services resulting from an AI-generated response.
7. CLIENT OBLIGATIONS AND PROHIBITED USE You agree not to use GammaGlow's Services to:
Send spam, unsolicited marketing, or deceptive communications.
Transmit any content that is unlawful, harassing, or violates the intellectual property rights of others.
Reverse-engineer, copy, or attempt to extract the source code of our AI workflows or backend databases.
8. LIMITATION OF LIABILITY To the maximum extent permitted by law, GammaGlow Marketing Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content. Our maximum aggregate liability shall not exceed the amount you paid GammaGlow in the previous three (3) months.
9. NO WARRANTY The Services are provided on an "AS IS" and "AS AVAILABLE" basis. GammaGlow makes no warranties, expressed or implied, and hereby disclaims all warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. We do not guarantee specific conversion rates, uninterrupted uptime, or error-free AI interactions.
10. GOVERNING LAW AND JURISDICTION These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas.
